QuickBooks Terms of Service

Upon termination, your right to use QuickBooks is immediately revoked, and you will no longer have access to the Services.

10. Disclaimers and Limitation of Liability

QuickBooks is provided “as-is,” and Intuit makes no representations or warranties regarding the Services, including their availability, accuracy, or completeness. Intuit does not guarantee that the Services will be error-free or uninterrupted.

To the fullest extent permitted by law, Intuit’s liability for any claim arising out of or related to your use of QuickBooks will be limited to the amount you paid for the Service in the past 12 months.

In no event will Intuit be liable for any indirect, incidental, or consequential damages, including lost profits or data, resulting from your use of QuickBooks.

 

 


 

11. Indemnification

You agree to indemnify, defend, and hold harmless Intuit and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of QuickBooks, your violation of these Terms, or your infringement of the rights of any third party.

 

 


 

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the state of California, United States, without regard to its conflict of law principles. Any disputes related to these Terms or your use of QuickBooks will be resolved through binding arbitration, unless prohibited by applicable law.

You agree that any legal action or proceeding related to these Terms will be brought in the courts located in San Mateo County, California, and you consent to the exclusive jurisdiction and venue of such courts.

 

 


 

13. Miscellaneous

  • Force Majeure: Intuit will not be liable for any delay or failure to perform its obligations under these Terms if such failure is due to circumstances beyond its reasonable control, such as acts of nature, war, or government regulations.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
  • Entire Agreement: These Terms, along with the Privacy Policy and any other legal notices published on QuickBooks, constitute the entire agreement between you and Intuit with respect to your use of the Services.
